These Terms of Service ("Terms") govern your access to and use of the SUQO platform, operated by CodePros and available at suqo.ai. By creating an account or using SUQO, you agree to be bound by these Terms. Please read them carefully.
1. Acceptance of Terms
By registering for or using SUQO, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of your business, and agree to comply with these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use the SUQO platform.
2. Description of Service
SUQO is a subscription management platform designed for Nepali businesses. It enables businesses to:
- Create and manage subscription plans
- Share payment links with their customers
- Collect recurring payments via eSewa, Khalti, ConnectIPS, or manual entry
- Send automated SMS reminders to subscribers
- Track payment history and billing cycles from a central dashboard
SUQO is a tool for managing subscriptions and does not itself provide financial services, banking, or lending.
3. Account Registration and KYC
To use SUQO, businesses must create an account and complete a Know Your Customer (KYC) verification process. You agree to:
- Provide accurate and complete registration information
- Submit genuine KYC documents as requested
- Keep your account credentials confidential and not share them with unauthorised parties
- Notify us immediately of any unauthorised use of your account
SUQO reserves the right to suspend or terminate accounts where KYC information is found to be false, incomplete, or misleading.
4. Business Responsibilities
As a business using SUQO, you are solely responsible for:
- The subscription products and services you offer to your customers
- The accuracy of plan names, descriptions, and billing amounts you set up
- Obtaining necessary consents from your subscribers before enrolling them
- Honoring your obligations to subscribers (service delivery, refunds, etc.)
- Complying with all applicable laws in Nepal, including consumer protection and financial regulations
SUQO is not a party to the subscription agreement between your business and your customers. Any disputes between you and your subscribers are your responsibility to resolve.
5. Platform Fees and Payments
SUQO charges no platform fee on payments collected through the platform — we do not take a percentage cut of your revenue.
- Payment gateway fees (eSewa, Khalti, ConnectIPS) are charged separately by the respective gateways and are not controlled by SUQO
- Automated SMS renewal reminders are powered by SMS credits, which are purchased separately within the platform. Current pricing is NPR 1.49 per SMS credit (NPR 0.99 per credit at 1,000 credits or more)
- There are no monthly subscription fees, setup fees, or minimum usage requirements
Pricing for SMS credits and any future paid features is subject to change; we will notify you in advance of any changes.
Payment settlement to your account typically occurs within 24 hours of a successful collection, subject to the processing timelines of the relevant payment gateway.
6. Prohibited Use
You agree not to use SUQO to:
- Collect payments for illegal products, services, or activities
- Engage in fraud, misrepresentation, or deceptive practices
- Impersonate another business or individual
- Attempt to reverse-engineer, copy, or exploit the platform
- Distribute malware or engage in any activity that disrupts platform operations
- Violate any applicable law or regulation in Nepal or internationally
Violation of these prohibitions may result in immediate account suspension or termination without notice.
7. Intellectual Property
All content, design, code, and trademarks associated with SUQO are the property of CodePros. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your business operations only.
You retain ownership of any content or data you upload to SUQO (subscriber records, plan details, etc.). By using the platform, you grant us a limited licence to process this data solely for the purpose of providing the service.
8. Limitation of Liability
SUQO is provided "as is" without warranties of any kind. To the maximum extent permitted by applicable law, CodePros shall not be liable for:
- Indirect, incidental, or consequential damages arising from your use of SUQO
- Loss of revenue, data, or business opportunities
- Service interruptions, payment gateway failures, or delays caused by third parties
- Actions or disputes between you and your subscribers
Our total liability to you in connection with the service shall not exceed the total platform fees paid by you in the three months preceding the claim.
9. Termination
You may close your SUQO account at any time by contacting us at [email protected]. Upon closure, your data will be retained for a legally required period and then deleted.
SUQO reserves the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or if required by law. We will make reasonable efforts to notify you before doing so, except where immediate action is necessary.
10. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and may notify you by email. Continued use of SUQO after changes are posted constitutes your acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of Nepal. Any disputes arising from these Terms or your use of SUQO shall be subject to the jurisdiction of the courts of Nepal.
